These terms of use (hereinafter, referred to as “these Terms of Use”) establish the terms of use for the online store (hereinafter, referred to as “the Service”) provided by KING JIM CO., LTD. (hereinafter, referred to as “the Company”) on this website.
Article 1 Application
These Terms of Use shall apply to all aspects of the relationship between the users of the Service (hereinafter, referred to as “Customers”) and the Company regarding the use of the Service.
Article 2 User Registration
- A person who wishes to use the Service may apply for registration as a user of the Service by agreeing to these Terms of Use and submitting an application form to the Company pursuant to the procedure prescribed by the Company. Upon approval of the application for registration by the Company, the applicant will become a Customer and will be permitted to use the Service under the terms and conditions set forth in these Terms of Use.
- If the Company determines that any of the following apply with respect to the applicant, the Company may refuse to approve the application at its discretion. In such event, the Company will not be required to disclose the reason for such refusal.
(1) False information is submitted in connection with the application for user registration
(2) The application is from a person who has violated these Terms of Use in the past
(3) The Company determines that user registration is not appropriate based on other grounds
Article 3 ID and Password Management
- Customers are responsible for strictly managing their IDs and passwords.
- Customers shall not transfer their ID and/or password to a third party nor allow the use thereof by a third party.
- The Company shall have no liability whatsoever for any damage incurred by a Customer as a result of third party’s use of the ID and/or password of a Customer, regardless of whether or not the Customer was negligent. In addition, in the event that the ID and/or password of a Customer is used, and the Company or a third party suffer damage as a result thereof, the Customer shall compensate for all said damage.
- The Company has the authority to suspend the use of Customer’s IDs and/or passwords.
Article 4 Registration of Customer Information
- Customer information shall be protected and managed appropriately in accordance with the Company’s personal information protection policy.
- Customers shall not register false information.
In the event that any of the information registered by the Customer changes, the Customer shall promptly notify the Company of the changed information. Failure to notify the Company of changes to Customer information may result in the Customer not being able to receive communications or notifications from the Company or not being able to use the Service. The Company shall not be responsible for any damages incurred by the Customer as a result thereof.
Article 5 Cancellation of User Registration and Suspension of Use
If the Company determines that any of the following apply to a Customer, the Company may immediately cancel the Customer's user registration for, or suspend the Customer's use of, the Service without any prior notice to the Customer.
(1) The Customer has violated these Terms of Use
(2) The Customer has interfered with the operation of, or caused damage to, the Service
(3) The Company has otherwise determined that the Customer is not appropriate as a user of the Service
Article 6 Purchase of Products
- Customers can use the Service to purchase products.
- If a Customer wishes to purchase a product, he or she may submit a purchase order for the product in accordance with the method prescribed by the Company. Payment methods, delivery methods, methods of cancellation of purchase orders, methods of returning the products, and other such matters related to the Service will be as separately specified by the Company.
- Upon the delivery of a notification by the Company to the Customer that the Company has accepted the purchase order submitted by the Customer in accordance with the preceding paragraph, a sales agreement regarding the product shall be deemed to be entered into between the Customer and the Company.
- If any of the following apply to the Customer, the Company may, without prior notice, cancel the sales agreement which has become effective pursuant to the preceding paragraph.
(1) The Customer has violated these Terms of Use
(2) The delivery address is unknown or the product cannot be delivered due to long-term absence
(3)The Company has otherwise determined that the relationship of trust between the Company and the Customer has been damaged
Article 7 Intellectual Property Rights
Intellectual property rights, such as copyrights associated with product photos and other content provided under the Service, belong to the Company or the third party that provided the content to the Company, and Customers shall not copy, reprint, modify, or make any other secondary use of such content.
Article 8 Confidentiality
- Customers shall not leak or disclose information obtained through the Service (hereinafter, referred to as “Confidential Information”).
- Information falling under any of the following shall not be regarded as Confidential Information.
(1) Information that is already public knowledge at the time of disclosure to the Customer through the Service
(2) Information that, after being disclosed to the Customer through the Service, is lawfully obtained by the Customer from a third party without any obligation of confidentiality
Article 9 Prohibited Acts
When using the Service, Customers shall not engage in any of the following.
(1) Violation of laws and regulations, public order or good morals
(2) Activities related to criminal acts
(3) Infringement of copyrights, trademark rights or other intellectual property rights contained in the Service
(4) Unauthorized access or attempted unauthorized access
(5) Impersonation of another person
(6) Other activities which the Company determines to be inappropriate
Article 10 Suspension or Cancellation of Service
In the event of system trouble, maintenance, disaster, power outage, or other unavoidable operational management issues, the Company may temporarily suspend or cancel the Service without prior notice to or the consent of Customers. The Company shall not be liable for any damages that Customers may incur as a result of such suspension or cancellation.
Article 11 Elimination of Anti-social Forces
- Each of the Customers affirm the following to the Company.
(1) The Customer is not, and will not be, a member of an organized crime group, a company affiliated with an organized crime group, a corporate racketeer or a similar person or member thereof (hereinafter, referred to as "Anti-social Forces").
(2) The Customer will not allow Anti-social Forces to use his or her name to use the Service, and the Customer will not use the Service to benefit Anti-social Forces.
(3) The Customer will not, either by himself or herself or by a third party, engage in any behavior that threatens the Company, uses violence, or uses fraudulent means or force to interfere with the Company’s business or damage the Company’s credibility.
- If a Customer violates the affirmations contained in the preceding paragraph, the Company may cancel the user registration of such Customer, terminate any and all contracts with such Customer and take other measures without any notice or prior demand for rectification.
- The Company shall not be responsible for compensation or reparations, or have any other liability whatsoever, for damages arising as a result of the measures set forth in the preceding paragraph. In addition, the Customer shall compensate the Company for any damages to the Company resulting from violation of Paragraph 1.
Article 12 Exemptions from Liability
- The Company does not guarantee the completeness, accuracy, reliability, usefulness or other such quality of the information that Customers obtain through the Service.
- The Company shall have no liability whatsoever for any damage to the Customer arising as a result of his or her use of the Service, unless the damage is caused by the intentional misconduct or gross negligence of the Company.
Article 13 Withdrawal
Customers may withdraw from the Service at any time. Any Customer wishing to withdraw from the Service will be required to notify the Company of his or her withdrawal in accordance with the procedures prescribed by the Company.
Article 14 Severability
In the event that any provision of these Terms of Use is deemed legally invalid, in whole or in part, all other parts of the provision other than the invalid parts, as well as all other provisions of these Terms of Use, shall remain valid.
Article 15 Governing Law and Jurisdiction
These Terms of Use shall be governed by the laws of Japan, and the Tokyo District Court shall have exclusive jurisdiction with respect to any dispute relating to the Service or these Terms of Use.
Article 16 Changes to these Terms of Use
- The Company may make changes to these Terms of Use if such changes are in the general interest of Customers or if they do not contradict the purpose of these Terms of Use and are reasonable in light of their necessity and appropriateness, as well as in light of other relevant factors. If a Customer uses the Service after the effective date of the revised Terms of Use, such Customer will be deemed to have agreed to the changes made to the Terms of Use.
- When the Company makes changes to these Terms of Use in accordance with the preceding paragraph, the Company will notify Customers via an announcement posted on the Service.
